1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Fetch.ai regarding your use of AgentLaunch (available at agent-launch.ai), a blockchain token launchpad platform for creating and trading agent-specific tokens (AgentCoins) on the Fetch.ai ecosystem.

By connecting your wallet, creating tokens, or trading on AgentLaunch, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the platform.

2. Platform Description

AgentLaunch is a decentralized token launchpad that enables users to:

• Create ERC20 tokens with bonding curve pricing mechanisms
• Trade agent-specific tokens on BNB Smart Chain (BSC)
• Participate in automated liquidity provision through DEX integration (PancakeSwap)
• Interact with AI agents in the Fetch.ai Agentverse ecosystem

AgentLaunch provides the interface and smart contract infrastructure. All transactions are executed on public blockchains and are irreversible.

3. Eligibility and Account Requirements

3.1 Age Requirements

You must be at least 18 years old to use AgentLaunch. By using the platform, you represent and warrant that you meet this age requirement.

3.2 Jurisdictional Restrictions

You may not use AgentLaunch if you are located in, or a resident of, any jurisdiction where the use of blockchain tokens or cryptocurrency trading is prohibited or restricted by law. You are solely responsible for ensuring compliance with the laws of your jurisdiction.

3.3 Wallet Requirements

To use AgentLaunch, you must:

• Have a compatible Web3 wallet (e.g., MetaMask, WalletConnect-enabled wallets)
• Maintain custody and security of your wallet's private keys
• Have sufficient FET (Fetch.ai) tokens to pay for gas fees and platform fees

Important: AgentLaunch never has access to your private keys or wallet credentials. You are solely responsible for the security of your wallet. Loss of access to your wallet will result in permanent loss of funds.

4. Token Creation and Deployment

4.1 Deployment Fees

Creating a new token on AgentLaunch requires a 120 FET deployment fee in addition to blockchain gas fees. This fee is non-refundable.

4.2 Token Specifications

When you create a token through AgentLaunch:

• The token is deployed as an ERC20 smart contract with a bonding curve pricing model
• A 2% transaction fee is applied to all buys and sells
• The token automatically lists on PancakeSwap when the bonding curve reaches 30,000 FET in liquidity
• Token metadata (name, symbol, description, image) is immutable once deployed

4.3 Token Creator Responsibilities

As a token creator, you represent and warrant that:

• You have the right to use all token metadata (name, images, descriptions)
• Your token does not infringe on trademarks, copyrights, or other intellectual property
• Your token is not fraudulent, misleading, or designed to scam users
• You will not manipulate token prices or engage in wash trading

AgentLaunch reserves the right to remove token listings or ban users who violate these responsibilities, though deployed smart contracts cannot be deleted from the blockchain.

5. Trading and Transactions

5.1 Transaction Fees

All token trades on AgentLaunch are subject to:

• 2% platform fee on buy and sell transactions
• Blockchain gas fees (variable, paid directly to network miners/validators)
• Slippage depending on market liquidity and bonding curve parameters

5.2 Transaction Finality

All blockchain transactions are irreversible and final. Once a transaction is confirmed on-chain:

• It cannot be cancelled, reversed, or refunded by AgentLaunch
• You are responsible for verifying transaction details before confirmation
• AgentLaunch is not liable for user error, incorrect addresses, or failed transactions

5.3 Trading Risks

You acknowledge and accept the following risks:

• Token prices are highly volatile and can result in significant losses
• Tokens may become illiquid and impossible to sell
• Smart contract bugs or exploits could result in loss of funds
• Network congestion may cause delayed or failed transactions
• Bonding curves are mathematical formulas that do not guarantee price stability

6. Important Disclaimers

6.1 Not Financial Advice

AgentLaunch does not provide financial, investment, trading, or legal advice.All information on the platform is for informational purposes only. You are solely responsible for your trading decisions. Consult with a qualified financial advisor before making investment decisions.

6.2 No Guarantees of Value

Tokens created on AgentLaunch are speculative digital assets with no intrinsic value. We make no representations or warranties about:

• Future token prices or price appreciation
• Token utility, functionality, or real-world use cases
• The legitimacy or trustworthiness of token creators
• The success or failure of any token project

6.3 No Regulatory Approval

Tokens on AgentLaunch are not registered as securities with any financial regulatory authority (e.g., SEC, FCA, or equivalent). They may not comply with securities laws in your jurisdiction. You are responsible for determining the legal status of tokens in your country.

6.4 Platform Availability

AgentLaunch is provided on an "as is" and "as available" basis. We do not guarantee:

• Uninterrupted access to the platform
• Error-free operation or bug-free smart contracts
• Compatibility with all wallets, browsers, or devices
• Accuracy of displayed prices, charts, or transaction data

7. Prohibited Activities

You agree not to use AgentLaunch to:

• Engage in fraud, scams, rug pulls, or deceptive schemes
• Create tokens that violate intellectual property rights
• Manipulate token prices through wash trading, pump-and-dump schemes, or coordinated buying
• Use bots or automated tools to gain unfair trading advantages
• Launder money or finance illegal activities
• Upload malicious code, viruses, or exploit vulnerabilities
• Harass, threaten, or abuse other users
• Impersonate other individuals, entities, or AI agents
• Violate any applicable laws, regulations, or third-party rights

Violation of these prohibitions may result in account suspension, token delisting, or legal action.

8. Intellectual Property

All content, branding, logos, and software on AgentLaunch are the property of Fetch.ai or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you upload (token images, descriptions, profile information), but you grant AgentLaunch a worldwide, non-exclusive, royalty-free license to display, store, and distribute this content as necessary to operate the platform.

The AgentLaunch smart contracts are open-source and may be used according to their respective open-source licenses.

9. Limitation of Liability

To the maximum extent permitted by law, Fetch.ai and AgentLaunch shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from:

• Loss of funds due to trading, smart contract bugs, or wallet security breaches
• Network downtime, transaction failures, or blockchain congestion
• Fraudulent tokens, scams, or misconduct by other users
• Regulatory actions, legal disputes, or tax liabilities
• Errors in price calculations, charts, or displayed data
• Unauthorized access to your account or wallet

You acknowledge that you use AgentLaunch entirely at your own risk.

In jurisdictions that do not allow the exclusion of certain warranties or liabilities, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Fetch.ai, AgentLaunch, and our affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from:

• Your use of the platform or violation of these Terms
• Tokens you create or trade on AgentLaunch
• Your violation of any laws, regulations, or third-party rights
• Disputes with other users or third parties

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Fetch.ai is registered, without regard to conflict of law principles.

11.2 Arbitration

Any disputes arising from these Terms or your use of AgentLaunch shall be resolved through binding arbitration rather than in court, except where prohibited by law. You waive your right to participate in class-action lawsuits.

11.3 Jurisdiction

For disputes that cannot be resolved through arbitration, you agree to submit to the exclusive jurisdiction of the courts in the jurisdiction where Fetch.ai is registered.

12. Modifications to Terms

AgentLaunch reserves the right to modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date at the top of this page
• We will notify users via the platform or email (if available)
• Continued use of the platform after changes take effect constitutes acceptance

If you do not agree to the updated Terms, you must stop using AgentLaunch.

13. Termination

AgentLaunch may suspend or terminate your access to the platform at any time, with or without notice, for:

• Violation of these Terms or applicable laws
• Fraudulent, abusive, or harmful behavior
• Security concerns or suspicious activity
• Any reason at our sole discretion

You may discontinue use of AgentLaunch at any time by disconnecting your wallet. Termination does not affect transactions already recorded on the blockchain.

14. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgentLaunch regarding your use of the platform and supersede all prior agreements.
